AFFILIATE AGREEMENT

Aflu LLC and the Affiliate

This Agreement is between Aflu LLC, a Wyoming limited liability company, 30 N Gould St, Suite N, Sheridan, WY 82801 ("Aflu", "we", "us"), and the person signing below ("you", "Affiliate"). It starts on the date you sign.

1. What this is

1.1 Aflu places social media creators with brands. We find the brand, negotiate the deal, issue you a tracking link, and pay you. You create content and post it.

1.2 We guarantee you a placement. Within 30 days after you sign and finish onboarding, we will place you with one of our partner brands. We choose the brand and the industry based on demand and fit. If we miss the 30 days, you can either give us another 30 days or walk away — those are your only remedies, and no money is owed either way. Declining a placement we offer ends the guarantee.

1.3 This is a guarantee of a placement, not of any income. Nothing here promises sales, views, or earnings.

1.4 Each placement is confirmed in a short written notice from us (email is fine) naming the brand, your channels, your rate, and your start date (your "Placement"). Where it differs from this Agreement on money or post counts, the Placement notice wins.

2. What you have to do

2.1 The standard. Every day of your Placement you will:

(a) publish at least 2 Qualifying Posts;
(b) spread them across at least 2 different platforms we've named for you — TikTok preferred where we've named it, for example one on TikTok and one on a Meta app. Two posts on one platform only count if we named just one platform for you; and
(c) keep your tracking link or code live in your bio on every named platform, all day, every day — including days you don't post.

2.2 A "Qualifying Post" means a post that: is on a platform we named for you · is public · is new content you made for this placement (not a repost or re-upload) · features the brand or product as a main subject · is at least 15 seconds if video · contains your link or code where a viewer can act on it · carries the paid disclosure in §5.1 · follows our Content Rules · stays up for 30 days · and is reported to us on time under §2.5. A post missing any one of these earns nothing. Max 3 posts a day count toward your monthly total.

2.3 Your minimums. All three apply: no more than 2 days in a row below standard · at least 14 Qualifying Posts a week · at least 60 Qualifying Posts a calendar month.

2.4 Missed days. You can make up to 4 short days a month good by posting 2 extra Qualifying Posts within 7 days of the day you missed. Days beyond 4, and days you missed because your bio link was down, can't be made up.

2.5 Reporting is on you. By Sunday 11:59pm Mountain each week, send us the public link to every post you're claiming, plus a screenshot showing the disclosure and your link. Anything you don't report doesn't count, even if you posted it.

2.6 Don't delete. Don't delete, hide, archive, restrict, or materially edit a Qualifying Post for 30 days without our written OK. If you do, that post stops counting and we can take back what we paid for it.

2.7 You control how you work. We set the compliance rules, the minimum number of posts, and the format minimums. You decide what to film, how to film it, what to say within our Content Rules, what time to post, your style, and what gear and software you use.

3. What we pay you

3.1 $500 a month, earned per post. Each calendar month you earn:

$500 × (your Qualifying Posts ÷ 60), capped at $500 — about $8.33 a post.

This is a monthly amount. You earn it again every month you perform, and not at all in a month you don't.

3.2 The 60% gate. Deliver fewer than 36 Qualifying Posts in a month, or blow any minimum in §2.3 without making it up, and you earn $0 for that month — not a smaller amount. This is a condition of earning, not a fine.

3.3 When it's paid. Within 15 days after each month ends, once we've counted. In your first month only we advance you 30% up front; if you don't earn it, you owe it back and we can take it out of anything else we owe you.

3.4 Commission: 10%. You earn 10% of Net Sales tracked to your link — that's the sales total less refunds, returns, chargebacks, cancelled and fraudulent orders, discounts, tax, and shipping. Orders you or your household place don't count. Your rate is 10% unless your Placement notice says otherwise.

3.5 We can only pay you what the brand pays us. Your commission is capped at what we actually collect from the brand on those same orders. If a brand underpays, delays, disputes, or goes under, we don't owe you commission on those sales — we'll chase it and pay your share if we collect. This doesn't affect your $500, which we pay from our own funds.

3.6 Commission timing. Paid every two weeks, in arrears, 10 days after each two-week period closes. Commission on an order becomes payable 30 days after it ships or after the brand's refund window closes, whichever is later. Balances under $50 roll forward. Transfer and currency fees come out of your payment.

3.7 Getting you a raise. If your numbers justify it, we may go to the brand and ask for a higher rate for you. Whether and when to ask is our call, and a brand saying no isn't our failure. Any increase we win passes to you in full, from its start date forward, confirmed in writing. This lets us argue your rate with a brand we've already placed you with — it doesn't make us your agent or manager, doesn't let us sign anything in your name, and doesn't stop you negotiating with anyone yourself. Tell us in writing to stop and we will.

3.8 Refunds, chargebacks, and set-off. If an order is refunded, returned, charged back, or found fraudulent, the commission on it isn't earned. We can deduct it — and any unearned advance, or anything else you owe us — from anything we owe you, under this or any other placement. If there's nothing to deduct from, it's a debt payable within 15 days. This right lasts 24 months after we're done.

3.9 Statements. Query a statement in writing within 15 days or it's final.

3.10 Tracking is the brand's system, not ours. Attribution is whatever the brand's tracking platform reports to us. We don't own it, can't control it, and don't warrant it — we're not liable for lost, missed, or misattributed sales from cookie loss, browser changes, ad blockers, broken links, a customer switching devices, or brand error.

3.11 We can change rates going forward on 15 days' written notice. Nothing already earned changes. Don't like it — say so before it starts and either of us can end the placement, with everything earned paid.

3.12 That's the whole deal. No expenses, ad spend, gear, travel, software, or manager fees are reimbursed unless we agree in writing first. No milestone bonus program applies unless your Placement notice enables one and the brand has agreed in writing to fund it.

3.13 Paying you. We'll collect your payment and tax details separately at onboarding. We can't pay you until those are complete and accurate, including a W-9 (or W-8BEN if you're outside the US). We withhold where the law requires.

4. If we or you want out

4.1 We can end this or any placement on 7 days' notice, or immediately for Cause. You can end it on 14 days' notice, and you keep posting through those 14 days.

4.2 "Cause" means: any fraud or prohibited practice in §5.4 · a compliance breach or a missing disclosure · not taking content down within 24 hours when asked · breaking §6 or §7 · missing a §2.3 minimum without making it up · a false statement in §9 · a brand reasonably asking for you to be removed · conduct that puts us or a brand at regulatory, platform, or reputational risk · or any other material breach you don't fix within 5 days of notice.

4.3 A placement pauses automatically, with nothing owed by us, if our agreement with that brand ends or the brand stops paying. You're paid what you earned and collected to that point.

4.4 When it ends you stop using your link and all brand assets, stop implying any connection, and return or delete anything confidential. Content you already posted stays licensed to us under §6 and, if we ask, stays up. Unearned advances are repayable. On termination for Cause, unpaid amounts are forfeited to the extent the law allows.

4.5 Commission after the end. Commission on repeat purchases by customers you brought in stops at the earliest of: 90 days after this ends · the day our brand agreement ends or the brand stops paying us on them · or 12 months after your placement ends. Nothing accrues after termination for Cause.

5. Content rules

5.1 Disclose every post. Put #ad or #sponsored at the very start of the caption, before the "more" cut-off. On video, also say it out loud in the first 5 seconds and put it on screen for 3+ seconds. In stories, put it over the frame, not behind a link sticker. Turn the platform's paid-partnership tool on too — that alone is not enough. #sp, #collab, #partner, #ambassador, bio-only and comment-only don't count. An undisclosed post is never a Qualifying Post.

5.2 Say only what's approved. The brand gives us a written list of what can be claimed. You can say what's on it. You can't add to it. Use any required wording, legend, or disclaimer exactly as given. Not on the list means not approved — ask first.

5.3 Never invent a fact. No made-up price, discount, promo, stock level, shipping time, refund policy, guarantee, statistic, study, ranking, certification, or endorsement. No fake, paid-for, or undisclosed reviews or testimonials, and never pass a paid post off as unpaid. No comparison to a named competitor unless it's approved. Never claim government approval or professional endorsement that hasn't been documented to you. Never impersonate the brand, us, or any licensed professional.

5.4 Never do any of this. Buying through your own link, or getting others to · household or same-card orders · posting your link or code on coupon, deal, cashback, or aggregator sites · paying anyone to use your link · bidding on the brand's name in paid search, or running paid ads on your content without our written OK · registering handles or domains using a brand's name · bots, click farms, cookie stuffing, bought followers or engagement · unsolicited email, SMS, or automated calls · building or selling lists from a brand's customers · reselling or reshipping product · recruiting other creators or promising anyone a commission · sharing, cloaking, or breaking your tracking link. Any of these lets us suspend you immediately, void the affected sales, terminate for Cause, and claw back what we paid.

5.5 Your industry rules. Each placement carries the brand's own Content Rules — the specific do's and don'ts for that industry — which we give you before you start. They're binding and they override this section where they differ. Industries we place into have very different rules; read yours.

5.6 Take it down in 24 hours. If we or a brand ask you to remove, edit, or fix a post, do it within 24 hours. Appeal after it's down. This survives the end of this Agreement.

5.7 Audience 18+. Don't aim content at, tag, or feature anyone under 18, and use any age tool the brand requires. Some industries require a higher age — your Content Rules will say.

5.8 Product we send you is for making content. Don't resell or pass it on, keep it away from minors, and disclose that it was free. Whether you may personally use it depends on your Content Rules — for some industries personal use is banned outright.

5.9 Platforms are your risk. You're responsible for following each platform's rules and for your own accounts. Neither we nor any brand is liable if a platform removes, restricts, demonetises, or bans you, or for earnings you lose as a result.

5.10 Our OK isn't a defence. If we review or approve your content, that's a compliance check only. It never shifts responsibility for your own posts off you.

6. Your content

6.1 The licence you're giving us. You grant Aflu a worldwide, royalty-free, irrevocable, transferable, sublicensable licence to host, copy, show, excerpt, crop, re-caption, subtitle, edit, and make new versions of your content, and to use your name, handle, voice, image, and likeness as they appear in it:

forever, on our own and the brand's own channels, site, email, decks, and case studies; and
for 36 months from each post, in paid advertising — boosted posts, dark posts, Spark Ads, and whitelisted campaigns — by us, the brand, and their agencies and ad accounts.

6.2 We can pass that licence to the brand for your placement. That's the point — brands are partly paying for usable creative.

6.3 Whitelisting. If we ask, give the advertiser the access needed to run paid ads on your own posts (Meta Branded Content permissions, a TikTok Spark code) for the 36 months, and don't revoke it during that time.

6.4 What you're promising about your content. You own it or have every right needed to give us §6.1 · it infringes nobody · everyone identifiable in it has agreed in writing to these uses · all music, sound, stock, footage, and fonts are cleared for these uses including paid ads · you have not used platform-library or organic-only licensed audio in anything flagged for paid use · and it contains no AI likeness of any real person but you.

6.5 We'll credit you where practical. Not crediting you isn't a breach and never voids the licence. You waive any moral rights that would limit §6.1.

6.6 Brand assets. You get a limited, revocable licence to use the brand's name, marks, and assets only to make content for this placement and only per the Content Rules. It ends when the placement does. Don't alter marks, register anything, or claim ownership.

6.7 Our materials — templates, hooks, scripts, briefs, training, research, tools — stay ours, are confidential, and are for Aflu placements only. Never use them for a brand you work with outside Aflu.

7. Confidentiality and going direct

7.1 Keep our business confidential — the brands we work with, our pipeline, rates and terms, sales and tracking data, our playbooks and training, and our creator roster. For 3 years after we're done, and indefinitely for trade secrets. Don't post your rates or this Agreement's terms publicly. You can of course say you work with Aflu — and you must disclose the paid connection per §5.1.

7.2 What this never stops you doing. Talking to any government agency, including the FTC, FDA, IRS, DOL, or a state attorney general, without telling us · exercising any whistleblower right · discussing your own engagement terms where the law protects that · or giving an honest review or opinion about us or a brand's products. Nothing here gags a truthful review. We only bar statements you know to be false.

7.3 You can work with anyone. Nothing in this Agreement stops you working with any brand, agency, or company, during or after this, and we won't claim otherwise. §7.4 is about paying us for an introduction, not about limiting your work.

7.4 If you go direct. If within 12 months after a placement ends you do a direct deal — affiliate, sponsorship, ambassador, retainer, employment, or paid content — with a brand we introduced you to, outside Aflu, you'll pay us 15% of what that brand pays you over those 12 months, and tell us within 10 days. Do the deal — just pay the introduction fee. This doesn't apply to a brand you already had a documented relationship with before we introduced you.

7.5 Don't try to talk a brand into dropping or bypassing Aflu, and don't poach our staff or creators.

8. You're an independent contractor

8.1 You're an independent contractor, not our employee, partner, or agent, and not the brand's either. No employment, partnership, or agency is created.

8.2 You set your own hours and schedule, choose your own creative approach and posting times, use your own gear, software and workspace, may take other clients including in the same category, may use your own editors or assistants at your cost, and carry your own profit and loss. We specify outcomes and compliance — not how you work. You have no supervisor, shift, or performance review here.

8.3 You handle all your own taxes. We don't withhold except where the law requires, and we'll issue a 1099-NEC if required. You get no employee benefits, no workers' comp, and no unemployment cover, and you waive any claim to them. Your insurance is your responsibility.

8.4 If anyone ever reclassifies you as an employee, then as far as the law allows the amounts we've already paid count toward everything that would have been owed, and our liability is reduced by them.

9. What you're promising us

You're 18 or older with full legal capacity — under-18s can't sign, and if you did, we can void this and every advance is repayable immediately · each channel is genuinely yours and in good standing · your following and engagement are real, not bought or artificial, and the numbers you gave us are accurate · you're not bound by any other exclusivity, non-compete, or management deal that this breaks, and you've told us about any manager or agency owed a cut · you're not a doctor, pharmacist, or other prescriber holding yourself out as one (and if you hold any licence, you've told us and its rules come first) · you've read your Content Rules and can follow them · and you'll obey the law.

10. Risk

10.1 You cover us. You'll defend and cover Aflu and the brand against any claim, investigation, fine, penalty, settlement, or legal cost arising from: your content, including infringement, defamation, or privacy and publicity claims · any breach of this Agreement or the Content Rules · any banned claim or missing disclosure in your posts, including any FTC, FDA, state, or platform action over it · anything in §5.4 · your taxes or your own classification claims · claims by your manager, agency, assistant, or anyone appearing in your content · and your own negligence or misconduct. Brands can enforce §5, §6, §7, §9 and this section against you directly.

10.2 We cover you only for a claim that brand assets we gave you, used exactly as instructed and unmodified, infringe someone's IP. That's our only indemnity.

10.3 No promises about outcomes. We don't warrant any brand's products, quality, legality, or solvency; any tracking system; or any level of sales, earnings, views, reach, or conversion. Any earnings figure, average, projection, or other creator's result you've seen or been told is an example only — never a promise. All implied warranties are excluded as far as the law allows.

10.4 Our limit. Neither of us is liable for indirect or consequential loss, lost profit, lost commission, lost followers, or reputational harm. Our total liability to you, on everything combined, won't exceed the greater of what we paid you in the previous 3 months or $500. This doesn't cap your obligations under §5.4, §6, §7.4 or §10.1, either side's fraud or wilful misconduct, or our duty to pay what you've actually earned and we've collected.

11. The rest

Notices by email — us at blake@aflu.com, you at the address you sign with; keep yours current. This Agreement, your Placement notices, and your Content Rules are the whole deal and replace every earlier conversation, deck, DM, and call — no earnings claim or promise outside this document counts. Changes need writing from both of us, except that we can update the Content Rules and program terms on notice as §3.11 and §5.5 say. Signing electronically is as good as by hand under the Wyoming UETA and the federal E-SIGN Act. This Agreement is pre-signed by Aflu — your signature alone completes it, and it takes effect the day you sign. We may transfer this Agreement; you can't without our written OK. If any part is unenforceable it's narrowed just enough to work, or dropped, and the rest stands. Not enforcing something isn't giving it up. Neither of us is liable for things outside our reasonable control — platform outages, policy or algorithm changes, a brand failing, regulatory action — and your posting duties pause, with the $500 and post count pro-rated over the days actually available. All remedies are cumulative. Headings are for convenience. Both of us had the chance to use a lawyer, so no rule about reading ambiguity against the drafter applies.

Disputes. Wyoming law, ignoring its conflict rules. Anything in dispute goes to final binding arbitration with the AAA under its Commercial Rules, one arbitrator, seated in Cheyenne, Wyoming — held by video or on documents, so you never have to travel to Wyoming. Either of us can instead bring a small claim in the other's home county, and either of us can go to court for an injunction to protect confidential information or IP or to stop anything in §5.4. We both give up jury trials and any class or collective action. Claims must be brought within 1 year. The winner recovers reasonable legal costs.

By signing, you confirm you are 18 or older, that you've read your Content Rules and can follow them, that you understand the $500 is earned per post and is not guaranteed, that no one has promised you any earnings, and that you had the chance to have a lawyer look at this.
